Clark Smith Villazor LLP Secures Favorable Magistrate Decision Enforcing JPMorgan’s Mandatory Advancement Obligations to Cover Client’s Defense Costs

On January 21, 2026, Magistrate Gibbs of the Delaware Court of Chancery issued a Report granting summary judgment in substantial part to the client of Clark Smith Villazor LLP and co-counsel Berger McDermott LLP, Arif Ahmed, in his advancement action against JPMorgan Chase & Co. and J.P. Morgan Securities LLC.
As noted in a previous news item, Clark Smith Villazor LLP filed a Complaint in the Delaware Court of Chancery seeking enforcement of Mr. Ahmed's mandatory advancement rights after JPMorgan unilaterally terminated all advancement of his legal defense costs, and demanded immediate repayment of fees it had previously advanced, despite the fact that none of the underlying proceedings had been adjudicated on the merits.
The Magistrate's Report resolves cross-motions for summary judgment and delivers several significant rulings in Mr. Ahmed's favor. First, the Magistrate held that Mr. Ahmed is entitled to full advancement of all fees, expenses, and costs incurred in connection with the ongoing SEC and FINRA investigations, finding that JPMorgan's termination of advancement relating to the investigations was improper under a plain reading of the company's own bylaws.
Second, the Magistrate ruled that Mr. Ahmed is entitled to partial advancement in connection with the two pending FINRA customer arbitrations, to the extent that the claims arise "by reason of the fact" of his affiliation with JPMorgan, including fees for work that was useful to both advanceable and non-advanceable aspects of the arbitrations. The Magistrate also found that Mr. Ahmed is entitled to fees-on-fees, that is, legal fees incurred in prosecuting this advancement action.
The decision reaffirms the well-established principle that advancement must proceed where claims arise by reason of a plaintiff's corporate capacity, and cannot be limited by parsing underlying transactions or disaggregating individual acts.
